Either Party will not disclose any proprietary information that is provided to it by the other Party under this Privacy Policy or which that Party may have access to pursuant to this Privacy Policy.
Such information may include, policies, internal workings of Parties, data, other proprietary information of either Party including but not limited to the trade practices, strategies, or product development plans of either Party ("Confidential Information").
Each Party agrees to prevent unauthorized access to or dissemination of the Confidential Information of the other Party.
This restriction does not apply to information which:
- (a) either Party independently developed without reference to or use of the Confidential Information of the 3rd Party;
- (b) is in public domain without breach of the confidentiality obligation or made public by any 3rd Party;
- (c) is disclosed with the other Party's prior written approval; or
- (d) is revealed pursuant to court or regulatory order or mandatory process of law, provided the Party gave as much advance written notice to the other Party as possible (to the extent not prohibited by law) regarding the disclosure.
In connection, with personal data of an individual provided by one Party to the other, the receiving Party shall:
- (a) process such data only for the purposes of this Privacy Policy;
- (b) take such technical and organizational security measures against unauthorized and unlawful processing of, accidental loss of, destruction of or damage to personal data as may be required as per the laws applicable in India for the time being, having regard to the state of technological development and the cost of any measures, to ensure a level of security appropriate to the harm that might result from such processing, loss, destruction or damage and the nature of the data to be protected. The receiving Party undertakes to comply with the relevant data protection laws and regulations and keep personal data secure and only use such data in accordance with such applicable data protection laws and regulations.
